Shareholder Requirements

• Individual or Limited Entity: A single shareholder is required, which can be either an individual or a limited entity.

Know-Your-Client (KYC) Norms

• For Individuals: Must provide a copy of the passport, proof of overseas residential address, and KYC information, including personal and business profiles.
• For Corporate Entities: Must submit registration documents such as the Certificate of Incorporation, Memorandum & Articles of Association, and a Board Resolution.

Director Requirements

• Minimum of One Director: At least one director is necessary, who can be either an individual or a corporate entity. Directors may be of any nationality and are not required to be residents of Singapore. Corporate directors are allowed.

Local Director and Shareholder

• Optional Requirement: A Singapore company does not need a local resident director or shareholder; this is optional. However, at least one director must be ordinarily resident in Singapore (e.g., Singaporean, Singapore Permanent Resident, or holder of a Singapore Employment Pass). We can assist in arranging this.

Registered Office in Singapore

• Office Requirement: The company must have a registered office in Singapore. We will provide the registered office address, as a P.O. Box cannot be used.

Qualified Company Secretary

• Appointment Needed: The company must appoint a qualified company secretary to maintain and update secretarial records and minutes of meetings. The secretary will also be responsible for submitting necessary documents to the Registrar of Companies annually. We will provide the company secretary.

Incorporation Process

• Proceeding with Incorporation: Upon receiving the signed incorporation and supporting documents from you, we will initiate the incorporation process with the Accounting and Corporate Regulatory Authority of Singapore (ACRA).
